The purpose of these general terms and conditions of sale (GTC) is to define the terms and conditions of sale of the semi-automated multi-channel outbound lead generation service offered by B&C Enterprise SRL, using the Leads Makina commercial brand.
Orders can be placed by e-mail or during an appointment or video conference with Leads Makina. Once the order is placed and the offer is accepted by e-mail, the terms and conditions are considered accepted and the mission is launched.
Leads Makina's rates are defined in the quotes and service offers. The payment is made in two steps: a first payment corresponding to a setup fee, then a monthly payment corresponding to the services provided. The rates may vary depending on the mission and the client
Payment shall be made upon receipt of the invoice. Any sum not paid on the due date shall automatically and without formal notice give rise to the payment of late interest equal to 10% per month. The parties agree that the interest rate for late payment shall not be lower than the legal rate.
Makina Leads' missions have a minimum duration of 3 months, unless otherwise agreed upon in the service offer. Once the assignment is launched, it cannot be stopped before the end of the planned duration and all invoices are due, unless other agreements are explicitly written in the offer. There is no right of withdrawal once the mission has started.
In case of force majeure, such as war, riot, insurrection, natural disaster, strike or any other event beyond their control, the mission may be interrupted by either party. In such event, all invoices due until the termination of the assignment shall be paid. The parties will endeavour to find an amicable solution for the continuation of the mission as soon as possible.
The parties undertake to maintain the confidentiality of the information exchanged during the duration of the mission and after its completion. They may only use it within the framework of the mission entrusted to them and shall refrain from disclosing it or communicating it to third parties.
All intellectual property rights related to software, applications, databases, developments, concepts, methodologies, techniques, know-how, models and documents created and/or used by Leads Makina in the course of the assignment remain the property of Leads Makina. The Client shall not reproduce, copy, use or disclose them to third parties without the express permission of Leads Makina.
Leads Makina reserves the right to change these terms and conditions at any time. The new terms and conditions will be applicable as soon as they are posted on the Leads Makina website and will be considered accepted if the customer continues to use the services of Leads Makina after the posting of the new terms and conditions.
The customer declares that he/she has read the present general terms and conditions of sale and accepts them without reservation. The customer acknowledges having received all the information necessary to evaluate the services of Leads Makina and agrees to abide by these terms and conditions.
If any provision of these terms and conditions is invalid or unenforceable under any law or regulation, it shall be deemed unwritten, but shall not affect the validity of the remaining provisions of these terms and conditions. The parties shall, in good faith, replace the clause deemed unwritten by another valid clause whose meaning is closest to the original intention of the parties.
The interpretation, execution and validity of this contract are subject to Belgian law without application of its conflict rules.
The parties undertake to attempt to settle amicably any dispute relating to this contract, including its signature, interpretation, execution, termination and post-contractual obligations. If no amicable agreement is reached, the dispute will be brought before the competent court.
